NSDL-Electronic Book Provider (NSDL-EBP)

I. Introduction:

NSDL has introduced its Electronic Bidding platform (NSDL-EBP) for issuance of debt securities on private placement basis. The EBP platform will bringing efficiency and transparency in the price discovery mechanism and will reduce time line and cost for debt issuance.

SEBI had vide its circular no CIR/IMD/DF1/48/2016 dated April 21, 2016 laid down a framework for issuance of debt securities on private placement basis through an electronic book mechanism. SEBI subsequently vide circular no. SEBI/HO/DDHS/CIR/P/2018/05 dated January 5, 2018 streamlined the procedures for issuance of debt securities on private placement basis, which replaced earlier SEBI circular dated April 21, 2016. The usage of this platform is mandatory for the issuers with an issue size of INR 200 crores and above, inclusive of green shoe option (if any). However the platform can also be used for issues less than INR 200 crores.

The participants desirous of availing the NSDL-EBP facility need to register with NSDL by executing the necessary documentation for registration. Issuers who intend to avail NSDL-EBP facility have to enter into an agreement with NSDL. Post registration, Participants viz; Issuers, Investors and arrangers can participate directly on the platform.
