Introduction
An Issuer may offer demat facility to its shareholders by admitting the securities in NSDL. Issuer should obtain electronic connectivity with the existing Registrar & Transfer Agent (R&T Agent) or by obtaining In-House connectivity with NSDL. In order to facilitate Issuers to admit their securities, NSDL has created this online platform wherein Issuer itself complete the formalities related to joining the depository system or facilitators can register them self to complete the formalities on behalf of their clients. For accessing the portal, Issuers/facilitators are first requested to register their user details using New User Registration section. Issuers/facilitators who have already registered on Issuer Portal may Login using their existing access/login credential to perform activities related to Issuer admission and Securities admission.
Who can register?
Issuer
An Issuer who wish to offer demat facility to its shareholders by admitting the securities in NSDL can register on the Issuer Portal.
Professionals
Practicing professionals who are registered member of ICAI, ICSI and ICWAI can register on Issuer Portal to provide the facility of Issuer Admission in NSDL to their client companies.
R&T Agents
SEBI Registered R&T Agents who have established electronic connectivity with NSDL can register on the Issuer Portal to provide the facility of Issuer Admission in NSDL to their client companies.

Essential Documents
- Certified true copies of Memorandum & Articles of Association along with Certificate of Incorporation
- Certified true copy of Board Resolution mentioning name of signatories who are authorized by Board to execute documents and list of Authorised Signatories along with specimen signature
- Certified true copy of Audited annual report for the last financial year
- Networth certificate as per audited annual report for the last financial year (Format)
- Confirmation letter from Registrar & Transfer Agent (R&T Agent) (Format)
Additional Documents for private limited companies
- Undertaking from company (Format)
Additional Documents for listed companies
- Copies of listing/trading permission/confirmation letter received from the stock exchanges with Distinctive Number Range (DNR) for listing of all its shares
- Copy of the latest Reconciliation of Share Capital Audit Report submitted to the stock exchanges
Additional Documents incase of change in share capital
- If company has issued equity shares after latest balance sheet in that case company has to provide us certified true copy of PAS-3
- If there is any variation in face value of shares or reduction in capital after the last balance sheet date in that case company has to provide certified true copy of SH-7
Tripartite Agreement
Tripartite agreement should be executed between Issuer, R&T Agent and NSDL (3 copies with franking of Rs 200/- each). The 3 copies of agreement should be sent to NSDL after signing by Issuer & R&T Agent.
In case has obtained In-House connectivity with NSDL, bi-partite agreement should be executed between Issuer and NSDL (2 copies with franking of Rs 300/- each). The 2 copies of agreement should be sent to NSDL after signing by Issuer.
Payment of fees
Make payment of applicable fees (Joining Fees and Annual Custody Fees) and intimate the payment details to NSDL mentioning Application Reference Number.
